Barcodesoft Terms of Use

Acceptance of Terms

By accessing and using www.barcodesoft.com ("the Site"), you ("the User") agree to be bound by these Terms of Use ("the Agreement") as established by Barcodesoft and amended from time to time at Barcodesoft's sole discretion. This Agreement shall remain in effect for an indefinite term and governs your continued access to the Site. Your use of the Site constitutes your acknowledgment and acceptance of these terms, as amended periodically.

Amendment and Modification of Terms Barcodesoft reserves the right to unilaterally modify, amend, suspend, or discontinue any or all portions of the Site, including its content, products, and services, without prior notice. This includes the suspension or termination of any user access or channels and the alteration of content provided on the Site. Such modifications shall become effective immediately upon posting.

Individual Registration, Access, and Information Exchange
Certain services on the Site, including but not limited to email, personal web pages, contests, and shopping, require individual registration. By registering for these services, you agree to the following conditions in addition to any specific terms displayed on the Site:
Single-User Access: Each registration is strictly for individual use. You must safeguard your User Name and Password and refrain from sharing them with others.
Prohibited Activities:
Sharing your User Name and Password with others.
Caching any part of the Site in proxy servers for access by unregistered individuals.
Permitting multiple users on a network to access the Site using a single User Name and Password.

If Barcodesoft reasonably believes that misuse of User Name or Password has occurred, it reserves the right to terminate access immediately without notice and may block access for all users from the associated IP address.

Third-Party Links

The Site may contain links to external websites operated exclusively by third parties. These third-party websites are not governed by this Agreement, and Barcodesoft assumes no liability for any damages arising from your use of or reliance on third-party content. Barcodesoft disclaims all responsibility for the availability, accuracy, or appropriateness of such websites.

Limitation of Liability

Under no circumstances shall Barcodesoft, its affiliates, or licensors be held liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages arising from your use or inability to use the Site or reliance on its content, even if Barcodesoft has been advised of the possibility of such damages. This limitation applies to all claims, including but not limited to loss of data, loss of profits, or business interruption.

Disclaimer of Warranty

The Site and its content are provided "AS IS" without warranties of any kind. Barcodesoft expressly disclaims any and all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Site is at your sole risk.

Indemnification

You agree to indemnify, defend, and hold harmless Barcodesoft, its affiliates, officers, directors, employees, agents, and representatives from any claims, liabilities, damages, or expenses, including reasonable attorney fees, arising out of:

Your breach of this Agreement.
Your activities conducted in connection with the Site.

Copyright Infringement and Complaints

Barcodesoft does not actively monitor the infringement of trademarks, copyrights, or other intellectual property rights by third parties. However, Barcodesoft reserves the right to remove, suspend, or terminate access for users found to infringe upon the intellectual property rights of others. Such actions will be undertaken at Barcodesoft's discretion and without prior notice.

Limited License for Personal Use

You are granted a limited, non-exclusive license to print or download extracts from the Site for personal, non-commercial use only. The following restrictions apply:
You may not create a database, manual or electronic, by systematically downloading and storing Site content.
No part of the Site may be reproduced, transmitted, stored, or disseminated in any electronic or non-electronic medium without prior written consent from Barcodesoft.
Content from the Site may not be used in any public or private retrieval systems or services without explicit permission.

Governing Law and Jurisdiction

This Agreement is governed by the laws of Ontario, and you agree to submit to the exclusive jurisdiction of the courts located therein for the resolution of any disputes arising from or related to this Agreement.
